These Terms and Conditions ("Agreement") are entered into between Brooklyn Chamber of Commerce, Inc. ("BCC"), a non-profit organization under the laws of the State of New York, and the users ("User(s)") of the Brooklyn Commerce Network web application. BCC and User(s) may collectively be referred to as the "Parties" or individually as a "Party."
Acceptance of Terms
1.1 By downloading, accessing, or using the platform, User(s) acknowledge and agree to be bound by the terms and conditions of this Agreement. If User(s) do not agree with any provision of this Agreement, they should immediately discontinue the use of this platfrom.
Description and Use
2.1 The Brooklyn Commerce Network, is an application designed to provide networking and business-related information, resources, and services to businesses and individuals in the Brooklyn community for Members of The Brooklyn Chamber of Commerce Only
2.2 User(s) agree to use the platfrom solely for lawful purposes and in compliance with all applicable laws, regulations, and this Agreement.
Intellectual Property
3.1 All intellectual property rights, including copyrights, trademarks, and any other proprietary rights, its content, and all materials provided therein, shall remain the sole property of BCC.
3.2 User(s) are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works, or using any content or materials from the platfrom without the prior written consent of BCC.
User Account and Privacy
4.1 In order to access certain features and services within the wen, User(s) may be required to create an account and provide accurate, complete, and up-to-date information as prompted by the registration process.
4.2 User(s) are solely responsible for maintaining the confidentiality of their account credentials and agree to promptly notify BCC of any unauthorized use or suspected breach of security.
4.3 BCC may collect and use personal information as described in its Privacy Policy, which is incorporated by reference into this Agreement.
User Content
5.1 User(s) may have the opportunity to submit, post, or upload content, such as comments, reviews, or other materials ("User Content") through the platfrom.
5.2 User(s) retain ownership of their User Content, but by submitting it through the platfrom, User(s) grant BCC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, and display the User Content in connection with the operation and promotion of the platfrom.
5.3 User(s) represent and warrant that they have the necessary rights and permissions to submit their User Content and that it does not infringe upon the intellectual property rights or violate any applicable laws or regulations.
Limitations of Liability
6.1 BCC shall not be liable to User(s) for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or inability to use the platfrom, even if BCC has been advised of the possibility of such damages.
6.2 BCC does not warrant the accuracy, completeness, or reliability of any information, content, or materials provided through the platfrom. User(s) acknowledge and agree that they use the platfrom and its content at their own risk.
Modifications and Termination
7.1 BCC reserves the right, in its sole discretion, to modify, suspend, or terminate the platfrom, or any part thereof, at any time without prior notice.
7.2 BCC may also modify this Agreement at any time by providing notice through the platfrom or via email. Continued use of the platfrom after such modifications constitutes User(s) acceptance of the modified Agreement.
Governing Law and Dispute Resolution
8.1 This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
8.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New York.
Entire Agreement
9.1 This Agreement constitutes the entire agreement between BCC and User(s) regarding the subject matter herein and supersedes all prior or contemporaneous communications, whether oral or written.
By accessing or using the Brooklyn Commerce Network platfrom, User(s) acknowledge that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
